SOFTWARE LICENSE AGREEMENT
Last Updated: October 2026
Licensor: My Php Cart
This Software License Agreement ("Agreement") is a legally binding contract between you (either an individual or a single legal entity, referred to as "Licensee" or "You") and My Php Cart ("Licensor", "We", or "Us"). By downloading, installing, copying, or using the shopping cart script software ("Software"), you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
1. Grant of License
Licensor grants you a non-exclusive, non-transferable, revocable (solely upon breach) license to use the Software strictly in accordance with the license tier purchased:
Standard Single-Site License:
Scope: Authorizes installation and operation on exactly one (1) production website domain / URL, plus one private staging/development environment.
Updates: Includes access to core updates, security patches, and new features for twelve (12) months from the initial date of purchase.
Post-12 Months: Upon expiration of the 12-month period, you retain a perpetual right to continue using the specific version of the Software installed or downloaded prior to expiration without recurring fees. Access to subsequent updates and patches ceases unless an update extension is purchased.
Developer License:
Scope: Authorizes installation across multiple client domains or client websites managed directly by the Licensee.
Term & Renewal: Valid on an annual subscription basis. The Developer License must be renewed every twelve (12) months.
Client Site Updates: All client installations deployed under this tier are entitled to free software updates, provided the Licensee’s Developer License remains active and paid in full. If the Developer License lapses, access to new updates ceases across all deployed client sites, though existing installations may continue to run as-is.
2. Restrictions on Use
Except as explicitly permitted under your purchased license tier or non-excludable local laws, you shall not:
Sub-license, rent, lease, resell, distribute, or publicly host the source code of the Software.
Deploy a Standard Single-Site License across multiple production domains.
Remove, alter, or obscure any proprietary notices, labels, or copyright markings embedded within the source code.
Use the Software for any unlawful purpose or in violation of applicable data privacy and consumer laws.
3. Intellectual Property Rights
The Software is licensed, not sold. Licensor retains all ownership, copyright, trade secret, and intellectual property rights in and to the Software, including any documentation, enhancements, modifications, and updates.
4. Warranty & Statutory Guarantees
Australian Consumer Law (ACL) Notice: Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). For major failures with the service, you are entitled to cancel your service contract with us and to a refund of the unused portion, or to compensation for its reduced value. To the extent permitted by law, Licensor’s liability for breach of a non-excludable statutory condition or warranty is limited, at Licensor's option, to the replacement or repair of the Software or the refund of the purchase price.
International Disclaimer: Except for non-excludable guarantees under applicable consumer laws, the Software is provided "AS IS", without warranty of any kind, express or implied, including fitness for a particular e-commerce purpose, non-infringement, or error-free operation. You assume full responsibility for payment gateway integrations, compliance with local taxation laws, and overall site security.
5. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall My Php Cart be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, e-commerce transaction losses, data corruption, or business interruption), even if advised of the possibility of such damages. Total aggregate liability under this Agreement shall not exceed the amount actually paid by you for the license during the twelve (12) months preceding the claim.
6. Termination
This Agreement is effective until terminated. Your rights under this Agreement terminate automatically without notice if you fail to comply with any term herein. Upon termination, you must cease all use of the Software and remove all copies from your servers.
7. Governing Law & Jurisdiction
Australia: For Licensees within Australia or where Australian law applies, this Agreement is governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
International: For transactions outside Australia, this Agreement shall be interpreted under the laws of New South Wales, Australia, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
